Sometimes you need to change the articles of association. When do you need to and how do you do this?

You need a new publication in the Official Gazette (‘Belgisch Staatsblad’) if:
- your articles of association change (for example: you change the purpose of your organisation, or you introduce new procedures for appointing members of the general assembly or directors, etc.)
- your directors change
- the registered office moves to a different region (or to another address if the address is stated in the articles of association)
- you terminate or dissolve the organisation
Thus no new publication is required for a change to the composition of the general assembly.
Who makes decisions?
The general assembly is authorised to make all these decisions and changes. The decision of the general assembly is only valid if it convenes and makes decisions according to the correct attendance quorums and majority.
What formalities are required?
To change your articles of association or directors, download Form I and Form II from the FPS Justice.
On Form I, fill in:
- Section A: Identification of the non-profit organisation.
- Section B:
- The changes decided on by the general assembly:
- For a change to the articles of association: the full new text of the articles of association.
- For a change of directors: the name, address and (if appropriate) the job title of the directors who are being appointed, resigning or being dismissed as directors.
- Below, state the names and job titles of the directors who represent the non-profit organisation.
- On the reverse side of the last page, state the same names again, with their signatures.
- The changes decided on by the general assembly:
- Section C: Do not fill this in.
On Form II, fill in:
- Section A: Point 1 and 2a, identification of the non-profit organisation (identical to Form I).
- Section B: Do not fill this in.
- Section C:
- Only fill in the parts that are relevant or have changed. Leave the rest blank.
For a change to the directors: state one director on each line who is resigning or being appointed. - At the bottom of the page: signature of the person filling in the form.
- Only fill in the parts that are relevant or have changed. Leave the rest blank.
Again, also provide an excerpt from the minutes of the general assembly that records the decision. This is the decision concerning the appointment or dismissal/resignation of directors, or the complete text of the new articles of association. It is identical to the text in Form I section B.
Print everything out on one side of the paper and provide three copies of each form.
Publication cost
You will have to pay a fee for publication in the Belgian Official Gazette (Belgisch Staatsblad). Check the prices and payment instructions (D/FR/G).
Make sure you have proof of payment with you if you deposit the documents on paper at the court registry.
Deposit
Deposit the forms (in triplicate), the excerpt from the minutes of the general assembly (in triplicate) and the proof of payment with the registrar of the competent commercial court in the region where the non-profit organisation is registered.
