What is the UBO register and why is it important for your non-profit organisation?

As a non-profit organisation, you are obliged to identify and record your organisation’s UBOs (Ultimate Beneficial Owners).

The law is intended to prevent people with dishonest and malicious intentions from using the legal structures of non-profit organisations, companies or foundations as a front for activities such as money-laundering or financing terrorism.


Specific action that you are expected to take:

1. Identify your UBOs

Determine who the ultimate beneficial owners of your organisation are. These are all the people who, directly or indirectly, hold more than 25% of the voting rights or ownership interests:

  • the members of the governing body
  • the executive managers
  • the persons authorised to represent the organisation
  • the natural persons for whose benefit the non-profit was founded (if applicable)
    These can be described as a ‘group of people’, for example a non-profit founded to support young choreographers can describe its UBOs as ‘young choreographers’.
    It may be that you have nothing to fill in here, if your organisation was founded to benefit the environment, for example, rather than human beings.
  • all other persons with a say in the non-profit organisation

Make sure you have the following information about your UBOs:

  • Surname and first name
  • Date of birth
  • Nationality/nationalities
  • Full residential address
  • Date when the person became an UBO
  • National registration number or social security number ('rijksregisternummer' / 'RSZ-nummer'
  • The category/categories of UBO to which the person belongs 

2. Register your UBOs

 

  1. Check whether the information in the CBE is correct using this link.

    Errors in the CBE need to be corrected first, before you can continue registering your UBOs.
     

  2. Log in bij de online toepassing om UBO’s toe te voegen.
     
    • If you are authorised to do so for your organisation, you can log into the UBO application at the MyMinFin portal (D/FR/G). You can do this with an e-ID or the app itsme.
    • Once you have logged in, you can register the required information about your UBOs. 
      Upload documents that demonstrate the information on the UBOs is accurate and up to date. For non-profit organisations, this will mainly mean the publication of the articles of association and changes of directors.

  3. Keep your record up to date

    Report changes to your organisation’s UBOs within the month, such as changes to your directors, ownership structure or decision-making powers.
     

  4. Confirm your UBO information annually

    Even if there are no changes to the UBOs in your organisation, you need to confirm the information about your UBOs every year. The deadline is one calendar year after registration or the previous confirmation. The FPS Finance will not send you a reminder to do this, so you need to keep an eye on this deadline for yourself!

Avoid fines and problems

Compliance with the UBO registration requirements is obligatory. 
Failure to meet the UBO obligations may lead to fines of between 250 and 50,000 euros and the official cancellation of your organisation.
